Recode Studios, a prominent beauty and personal care brand, has secured a substantial 51% equity stake in Aflairza Professionals, known for its luxury beauty and cosmetics offerings. This significant acquisition will unfold over two distinct phases, incorporating both a secondary share purchase from current promoters and a fresh capital investment into the business.

Investing in Growth and Development

Through this strategic investment, Recode aims to bolster Aflairza’s expansion efforts by enhancing its manufacturing capabilities, diversifying its range of beauty and personal care products, and improving distribution networks. The goal is to increase the brand’s visibility in both online and offline retail spheres.

Acquisition Details

In the first phase of the acquisition, Recode will acquire a 33% stake for a total consideration of Rs 8.32 crore. This amount will be evenly split between purchasing shares from the promoters and injecting new capital into the company. Following this, Recode plans to elevate its shareholding to 51% in Phase II, thereby becoming the majority stakeholder.

Aflairza Professionals: A Snapshot

Founded by Sagar Urvish Gandhi and Deep Parekh, Aflairza Professionals has a reputation for delivering professional-grade beauty products, utilising sophisticated Korean formulations. As part of the acquisition agreement, the existing promoters will maintain leadership over the company’s daily functions, while Recode will designate a representative to join the board.
