Theater, a digital-first fashion brand, has successfully raised Rs 56.25 crore (approximately $6 million) in a Series A funding round, capitalising on significant growth over the past two fiscal years. This funding round was led by Niveshaay, and included contributions from FirstPort Capital, Skagen Ventures, among other investors.

Previous Funding and Growth

In September 2024, Theater had secured $1.5 million during a pre-Series A round, also led by Prath Ventures. The board at Theater has approved the issuance of 2,145 Series A Compulsorily Convertible Preference Shares (CCPS) at an issue price of Rs 2,62,224 per share to garner the aforementioned funding, according to regulatory filings.

Investment Contributions

Niveshaay took the lead in this funding round with an investment of Rs 37 crore, followed by FirstPort Capital, which contributed Rs 12.81 crore, and Skagen Ventures with Rs 3.36 crore. Other participants included Saket Agarwal, Vishal Julka, and IPV International.

Company Valuation Insights

According to estimates from Startup Superb, the valuation of Theater stands at approximately Rs 402 crore ($43 million) post-money, reflecting a substantial 4.5X increase from its previous valuation of Rs 90 crore. The newly acquired capital will be allocated towards business expansion, addressing working capital needs, bolstering the balance sheet, and promoting future growth.

Founders and Stake Distribution

Established by Sarthak Aggarwal, Karan Jain, Vikram Jain, and Shruti Agarwal, Theater is a digital-first brand in the fashion and lifestyle sector, providing a range of products including shoes, bags, stockings, socks, perfumes, and various accessories for both men and women. Following this funding round, Eternal Emerging Enterprises Fund remains the largest institutional shareholder, holding a 9.71% stake, while Niveshaay owns 9.20%, FirstPort Capital has 3.19%, and Vishal Julka holds 2.54%.

Co-Founders’ Ownership

Among the co-founders, Sarthak Aggarwal retains a 20.63% stake, with Karan Jain and Vikram Jain each owning 16.39%. Shruti Agarwal maintains a 12.16% ownership in the five-year-old company. A report by Moneycontrol had previously indicated that Theater was in discussions to raise $4-5 million in a funding round led by Niveshaay.

Future Outlook

While Theater has yet to file its FY26 results, the significant 4.5X increase in valuation coupled with their recent fundraising efforts suggests that investors have confidence in the brand’s progress. After experiencing a 2.37X growth in revenue to Rs 33.35 crore in FY25, the FY26 figures will ultimately determine if Theater can maintain this upward trend.
