Zepto Confirms Pre-IPO Private Placement Ahead of Public Listing

Zepto, a prominent player in quick commerce, has officially announced its decision to initiate a pre-IPO private placement as it gears up for its anticipated public listing. The company indicated that its primary focus would remain on business execution prior to launching its IPO.

In a statement released on Friday, Zepto revealed that it has reached an agreement with key shareholders to close a pre-IPO equity placement. This financing move is expected to bolster its balance sheet, which reported a cash reserve of Rs 5,681 crore and zero debt as of March 31, 2026.

As part of the IPO procedure, the Board and Founders have received terms from public market investors regarding the company’s listing, expressing gratitude for the interest shown. However, Zepto has stated that, given its robust balance sheet, the priority remains on ongoing execution.

The company added that it plans to revise its draft red herring prospectus (DRHP) to include the latest operating results and financial performance in the upcoming quarters. Zepto aims for a listing within the timeline permitted by SEBI under its sanctioned UDRHP.

This announcement follows various media reports suggesting that the firm postponed its IPO plans while engaging in valuation talks with potential investors. There were also claims that Zepto is negotiating to raise over Rs 1,000 crore through a pre-IPO placement from existing backers such as Glade Brook, General Catalyst, Goodwater Capital, and Nexus Venture Partners.

Initially, Zepto had targeted an IPO amounting to approximately Rs 8,000 crore. In June, the firm submitted its revised DRHP to SEBI, seeking a fresh issue of Rs 8,010 crore, which subsequently received approval from the regulatory body. Recent findings have pointed towards a possible reduction in IPO size to between Rs 5,000 crore and Rs 6,000 crore.

According to the financial records for FY26, Zepto saw its operating revenue double to Rs 11,110 crore, up from Rs 5,454 crore in FY25. Nonetheless, its net loss increased by 26%, reaching Rs 5,905 crore.
