OpenAI Countersues Elon Musk Amid AI Business Model Dispute
OpenAI, a leading name in artificial intelligence, has initiated a countersuit against co-founder Elon Musk, alleging that he is orchestrating a “malicious campaign” to hinder the company’s transition to a for-profit model. This legal action, filed in a California federal court on Wednesday, adds another layer to the ongoing conflict between two pivotal figures in the AI industry.
Background of the Dispute
Musk, who was one of the founders of OpenAI in 2015 but left before the company reached international fame, has expressed criticism regarding the company’s current trajectory under CEO Sam Altman. Now heading his own AI venture, xAI, Musk is questioning OpenAI’s framework and objectives, while the company rushes to secure a vital $40 billion fundraising round before the year’s conclusion.
Allegations in the Countersuit
In its legal filing, OpenAI claims that Musk has made efforts to undermine the company’s initiatives through “press attacks, malicious campaigns disseminated to Musk’s extensive following of over 200 million,” legal threats, and a withdrawn $97.4 billion acquisition proposal backed by Musk.
The filing states, “Through press attacks, malicious campaigns… a pretextual demand for corporate records, harassing legal claims, and a sham bid for OpenAI’s assets, Musk has tried every tool available to harm OpenAI.”
OpenAI is seeking a federal judge’s intervention to prevent Musk from launching further attacks and to hold him accountable for the repercussions of his actions.

The legal confrontation is slated to be tried in the spring of 2026.
Musk’s Response to the Countersuit
Musk’s legal representation defended the proposed acquisition and accused OpenAI of neglecting its duties. “Had OpenAI’s Board genuinely considered the bid as they were obligated to do, they would have recognised its seriousness,” remarked Marc Toberoff, Musk’s attorney. “It’s telling that having to pay fair market value for OpenAI’s assets allegedly ‘interferes’ with their business plans.”
Claims of Abandonment of Mission
Musk has alleged that OpenAI has strayed from its original mission of creating artificial general intelligence for the public good, instead shifting its focus towards profit. He previously filed a lawsuit against OpenAI and Altman, accusing the startup of succumbing to corporate pressures.
Both OpenAI and Altman have dismissed these claims, with the CEO suggesting Musk’s activities aim to undermine a significant competitor. “Elon’s relentless actions against us are merely bad-faith tactics aimed at slowing down OpenAI and seizing control of leading AI innovations for his own gain,” the company stated on X, the social media platform owned by Musk.
