Shiprocket IPO Highlights

The Shiprocket IPO is anticipated to greatly benefit many of its initial investors, offering them substantial returns, whereas some later-stage investors may face losses on their partial exits. As stated in the company’s Red Herring Prospectus (RHP), Shiprocket has decreased its initial public offering size by 31%, bringing it down to Rs 1,617.48 crore from the previously proposed Rs 2,342.35 crore in the updated DRHP. The fresh issue has been adjusted to Rs 885.5 crore from Rs 1,100 crore, while the offer for sale (OFS) has been cut to Rs 731.98 crore from Rs 1,242.35 crore.

Returns for Early Investors

According to analysis from Startup Superb, at the upper price band of Rs 97 per share, the early investor 500 Global is poised to make the most significant gains, anticipated to achieve an impressive 77.6X return on its Rs 16 crore OFS. Tribe Capital is expected to see returns of approximately 7.7X on its Rs 120 crore OFS, while Agility International Investment and March Capital may yield returns of 2.6X and 2.1X respectively on their OFS of Rs 21 crore and Rs 56 crore.

Late-Stage Investor Challenges

However, the outlook is less rosy for investors who joined Shiprocket at elevated valuations during later funding rounds. Lightrock, the leading shareholder with an OFS valued at Rs 272 crore, is only expected to gain 0.72X on the shares sold. McKinsey, through AFOS, and Moore Strategic Partners are projected to exit with returns of 0.59X and 0.67X, respectively, indicating that their sales prices are below their acquisition costs.

Founders and Key Shareholders’ Actions

The founder shareholders, Saahil Goel, Gautam Kapoor, and Vishesh Khurana, will also reduce their stakes through the OFS. Gautam Kapoor and Saahil Goel are each set to sell shares worth Rs 61 crore, while Vishesh Khurana plans to offload shares valued at Rs 20 crore.

Notably, Shiprocket’s largest shareholder, Bertelsmann India Investments, which was part of the OFS in the earlier UDRHP, has decided to withdraw from the final offer. Other major shareholders, including Eternal (formerly Zomato) and Temasek, will also not take part in the OFS.

IPO Subscription Schedule

The IPO is scheduled to open for subscription on August 12 and will conclude on August 14, with the anchor book commencing on August 11.
