Nazara Technologies Acquisition of Curve Digital Entertainment

Nazara Technologies has made headlines with its acquisition of 100% ownership in Curve Digital Entertainment Limited, a prominent publisher of PC and console games in the UK, for Rs 247 crore ($29 million). This transaction is being facilitated through its wholly owned subsidiary, Nazara Technologies UK Ltd, as reported in a stock exchange filing on Tuesday.

Details of the Acquisition

Following the acquisition, Curve Digital Entertainment Limited (CDEL) will operate as a step-down subsidiary under Nazara. The agreement encompasses Curve’s six subsidiaries, including Kuju Ltd, Runner Duck Games, and IronOak Games, which are set to be integrated into Nazara’s expansive portfolio once the transaction is finalised.

About CDEL and Its Parent Company

CDEL is being acquired from Catalis Group, a UK-based media and entertainment conglomerate that boasts a portfolio of interactive entertainment and quality assurance/testing firms. This acquisition aligns perfectly with Nazara’s strategy to broaden its reach in the premium game publishing sector on a global scale.

Financial Performance of Curve Digital Entertainment

With an impressive array of original intellectual properties, Curve has demonstrated a solid business with reported revenues of Rs 263.5 crore and an EBITDA of GBP 10.6 million (approximately Rs 120 crore) in CY24. The acquisition is likely to reinforce Nazara’s foothold in critical gaming markets such as the US, UK, Japan, and South Korea.

Funding and Completion Timeline

Nazara has indicated that the acquisition will be financed through intra-group debt, with expectations for the deal to close within 45 days, pending regulatory approvals and standard conditions.

Recent Developments at Nazara Technologies

In recent moves, Absolute Sports, a subsidiary of Nazara Technologies and the parent of Sportskeeda.com, finalised agreements to acquire TJRWrestling.net and ITRWrestling.com from Titan Insider Digital. Furthermore, in January 2025, Nazara purchased two mobile games, King of Thieves and CATS: Crash Arena Turbo Stars, from Zeptolab for USD 7.7 million.

Future Growth Plans

Nazara has allocated $100 million for future mergers and acquisitions aimed at bolstering its global expansion strategy. Although the company has not yet filed its Q4 FY25 results, reports indicate a 67% increase in operating revenue, climbing to Rs 535 crore in Q3 FY25 from Rs 320 crore in Q3 FY24. However, during the same timeframe, its profit saw a decline of 53.6% year-on-year to Rs 13.7 crore.
