Brainbees Solutions Expands in Hygiene Products
Pune based Brainbees Solutions, the parent company of FirstCry, reveals its acquisition of K.A. Enterprises (Hygiene) through Swara Baby, a subsidiary, in a strategic move to strengthen its footprint in the hygiene products sector. In a regulatory announcement dated December 23, the company stated that Swara Baby will gain 100% equity ownership in KA Hygiene via a share swap deal valued at Rs 57.74 crore. As part of this arrangement, Swara Baby will distribute 38,49,572 equity shares to the current shareholders of KA Hygiene, with no cash consideration involved in the transaction.
Following the issuance of these shares, Brainbees’ stake in Swara Baby will decrease from 87.29% to 75.92%. The acquisition is anticipated to reach completion by the year’s end.
Overview of KA Hygiene
Founded in 2019, KA Hygiene specializes in manufacturing and trading hygiene products. The company recently assumed control of the business operations of a related entity operating in the same field. The hygiene division reported consolidated revenue of Rs 84.01 crore in FY25, showing growth from Rs 80.42 crore in FY24 and Rs 58.45 crore in FY23. The firm declared a profit after tax of Rs 5.22 crore in FY25. KA Hygiene has just recently launched its standalone operations, and its individual financial figures are currently minimal.
International Expansion Efforts
In addition, Brainbees has previously established Swara Corp in the United States through Swara Baby Products as part of its strategy for overseas expansion in the hygiene and disposable products market.
Recently, Brainbees announced consolidated revenue from operations amounting to Rs 2,099 crore in Q2 FY26, alongside a positive EBITDA of Rs 111 crore for the quarter ending September 30, 2025.
