InCred Holdings is initiating plans for an IPO with an anticipated issue size between $460 million and $560 million. As part of this venture, the fintech company aims to generate Rs 1,500 crore, approximately $172 million, through a fresh issuance of shares.

According to internal documents reviewed by Startup Superb, the company’s board intends to approve a resolution for issuing equity shares valued at up to Rs 1,500 crore as part of the fresh issue. Additionally, the firm plans to secure another Rs 300 crore via a pre-IPO placement, which will contribute to the overall fresh issue amount.
Regulatory Submissions and Listings
The documentation also suggests that InCred Holdings is preparing to submit its draft red herring prospectus (DRHP) to the Securities and Exchange Board of India (SEBI). Following regulatory approvals, the shares of the company will be listed on both the BSE and NSE.

InCred Holdings, established by Bhupinder Singh, operates as a technology-driven non-banking financial company (NBFC). The firm concentrates on lending for consumer needs, small and medium enterprises (SMEs), and educational purposes. The group claims to employ proprietary risk analytics, data science, and a digital-first approach to assist retail and MSME borrowers throughout India.
Entities Under InCred Group
The InCred Group comprises three entities: InCred Finance, InCred Capital, and InCred Money. InCred Finance has successfully raised over $370 million to date, including $60 million during its Series D funding round, marking its entry into the unicorn club.
Financial Performance
On the financial front, InCred Finance reported a remarkable 47% increase in its revenue, reaching Rs 1,872 crore in FY25 compared to Rs 1,270 crore in FY24. Concurrently, the company’s profits rose by 18% to reach Rs 374 crore.
