Info Edge Strategic Transactions with Shopkirana and A88 Fund I
Info Edge has initiated a series of strategic transactions, prominently featuring a swap agreement involving its investment in Shopkirana E Trading Pvt Ltd, alongside a new commitment of Rs 250 crore to an alternative investment fund. As disclosed by NSE, Info Edge plans to give its complete 26.14% stake in Shopkirana to Singapore’s Trustroot Internet for a sum of $32.97 million. In exchange, Info Edge will acquire preference shares in Trustroot, leading to a 2.02% ownership stake.
Additionally, Info Edge will invest an extra $1.72 million in Trustroot through a primary infusion, which will elevate its total shareholding to 2.13% on a fully diluted basis. The expected completion date for this transaction is June 2026, pending regulatory approvals. This operation signifies a portfolio swap in which Info Edge is exiting Shopkirana while still holding indirect involvement through Trustroot.
Shopkirana, which recorded revenues amounting to Rs 469 crore in FY25, will no longer be considered an associate company following this transaction. Conversely, Trustroot functions as an investment holding and SaaS platform, boasting revenues exceeding Rs 4,561 crore during the same timeframe, despite incurring losses.
In addition to this, Info Edge has authorised a commitment of up to Rs 250 crore to A88 Fund I, a Category II alternative investment fund established by A88 Trust. This fund will be backed and overseen by Smartweb Internet Services, a wholly owned subsidiary of Info Edge. The focus of A88 Fund I is anticipated to be on early-stage deeptech startups within India, operating with a lifespan of up to 12–14 years.
