DealShare’s Future: Acquisition Talks with TrueMeds and Captain Fresh

DealShare, an e-commerce platform that centres on groceries and household essentials, finds itself at a critical juncture as its board considers possible acquisitions by TrueMeds, an online pharmacy platform, and Captain Fresh, a meat and seafood e-retailer. Sources informed Startup Superb that discussions are taking place, but no final agreements have been reached yet. If neither deal progresses, DealShare may be forced to cease operations, according to three sources who wished to remain anonymous until the negotiations become public.

Current Situation of DealShare

DealShare is effectively facing two paths: to secure a buyer or to close down operations. One source indicated that negotiations with TrueMeds are further along compared to those with Captain Fresh, although nothing has been confirmed yet.

Focus on Financial Transactions Rather Than Business Acquisitions

The ongoing discussions do not appear to be motivated by DealShare’s business operations or its scale. Following a significant drop in revenue, the company has substantially decreased its operations, turning these talks into financial transactions rather than the acquisition of a robust e-commerce business.

Investor Connections

DealShare shares a common investor with TrueMeds, WestBridge Capital, which could aid in facilitating talks between the two companies. Conversely, Captain Fresh is noted for expanding through acquisitions while developing its operations across fresh food and retail options. Captain Fresh also has existing investor connections with DealShare via Matrix Partners India, currently rebranded as Z47.

Challenges Faced by DealShare

DealShare has encountered numerous struggles over the years, including the layoff of over 100 employees during FY24 and the shutdown of its B2B vertical in a restructuring initiative. Unfortunately, these measures have not halted the decline in revenue.

Financial Performance

During FY25, the company’s gross revenue from operations dropped by 13.4%, falling to Rs 432 crore from Rs 499 crore in FY24 and Rs 1,963 crore in FY23. However, its losses narrowed to Rs 87.65 crore in FY25, down from Rs 167 crore in FY24. Financial results for FY26 have yet to be submitted.

Management Changes

Significant shifts have also occurred within the company’s senior management. Kamaldeep Singh, the latest CEO, departed several months ago, and CFO Ashish Shah also left, as reported by various sources. Moreover, all four co-founders—Vineet Rao, Shankar Bora, Sourjyendu Medda, and Rajat Shikhar—have exited the company.

Implications of Management Changes

A source stated that by the moment DealShare initiated alterations to its model and management structure, the business had already lost considerable ground. Although cost reductions contributed to a decrease in losses, they did not pave the way for growth recovery.

Operational Status

The Startup Superb team reviewed DealShare’s website across various locations; however, it seemed non-operational at that time.

Investors and Funding

DealShare’s early backer, Matrix Partners India, now branded as Z47, appears to have entirely written off its investment in the company, according to provided sources. The start-up reached unicorn status in January 2022 and has successfully raised $393 million from various investors including Tiger Global, ADIA, Alpha Wave, and Kora Investment. Its most recent notable funding round was a $45 million investment from ADIA, which valued the company at $1.7 billion shortly after it achieved unicorn status.
