Atomberg Secondary Transactions Highlight Key Investor Changes

Atomberg has witnessed significant changes in its shareholder structure, with early investors, founders, and other stakeholders selling shares valued at approximately Rs 683 crore since 2019, as revealed in the draft red herring prospectus ahead of its upcoming IPO. These transactions, which occurred over multiple years, illustrate the evolving dynamics of Atomberg’s shareholder base, as the company attracted new capital and investors. Unlike primary fundraising, which funnels money into the company, these share sales pertain to existing and new shareholders, with the proceeds allocated to those selling their stakes.

Major Shareholders and Their Transactions

A91 Emerging Fund I LLP emerged as the largest seller, divesting shares worth around Rs 445 crore. Another notable early investor, Parampara Early Stage Opportunities Fund Series I, sold shares amounting to approximately Rs 116 crore. Additionally, Atomberg’s co-founders, Manoj Kumar Meena and Sibabrata Das, also disposed of portions of their holdings worth around Rs 71.6 crore collectively. Meena’s share sales comprised about Rs 40.2 crore, while Das accounted for nearly Rs 31.4 crore. However, it is important to note that the Rs 71.6 crore from founder sales should not be entirely added to the Rs 683 crore total, as around Rs 59 crore from promoter transactions are already factored into the overall secondary sale data disclosed in the prospectus.

New Investor Participation

A significant portion of the shares sold by initial investors has been acquired by newer institutional investors. Entities backed by Temasek, including Jongsong Investments Pte. Ltd and V-Sciences Investments Pte. Ltd, collectively purchased shares worth around Rs 187 crore and Rs 132 crore, respectively. Funds associated with Inflexor also procured a considerable amount of shares sold by Parampara. In total, the disclosed transactions involved approximately 14 sellers and 19 buyers.

Understanding the Financial Context

The Rs 683 crore figure does not represent a direct fundraising effort by Atomberg; rather, it indicates the capital returned to existing shareholders who opted to sell their shares. This provides valuable insights into the liquidity transactions early investors and founders have realised and highlights the shift in ownership towards newer investors over time.

Company Overview and Ownership Structure

Founded by Manoj Kumar Meena and Sibabrata Das, Atomberg originally focused on energy-efficient BLDC ceiling fans and has progressively diversified into other home and kitchen appliances, including mixer grinders. The company has successfully attracted investment from various sources, such as A91 Partners, Steadview Capital, Inflexor Ventures, White Whale, and Temasek-linked funds, thereby expanding its product offerings and distribution channels.

As per the date of the prospectus, even after the sale of secondary shares worth Rs 445 crore, A91 Partners continues to be the largest shareholder in Atomberg, holding a 21.02% stake. Following closely is co-founder Manoj Kumar Meena with 17.73%. V-Sciences Investments and Jungle Ventures hold 11.8% and 10.03%, respectively, while co-founder Sibabrata Das possesses 10.02%. Other significant shareholders include Steadview Capital, Temasek-backed Jonsong Investments, and Inflexor Ventures, holding 7%, 6.98%, and 6.08%, respectively.

Financial Performance Insights

On the financial front, Atomberg reported a year-on-year revenue growth of 34.8%, rising to Rs 1,293.77 crore in FY26 from Rs 959.51 crore in FY25. The adjusted EBITDA also showed notable improvement, increasing to Rs 37.12 crore in FY26, up from a negative Rs 51.35 crore in FY25. Nevertheless, the company faced a net loss of Rs 149 crore during the previous fiscal year.

Currently, Atomberg is in the final stages of preparing for its initial public offering, and the extensive series of secondary transactions provides a comprehensive view of how the company’s capital table has evolved from its inception into its upcoming IPO phase, with earlier investors, including A91 and Parampara, reducing their stakes while newer institutional investors have established their positions.
