Atomberg Technologies IPO: Draft Prospectus Filed with SEBI
Atomberg Technologies, a consumer appliance startup, has submitted its draft red herring prospectus (DRHP) to the Securities and Exchange Board of India (SEBI) in preparation for its initial public offering (IPO). The anticipated IPO includes a fresh issuance of equity shares valued at up to Rs 450 crore, alongside an offer for sale (OFS) of as much as 7.65 crore shares.
Last week, Startup Superb exclusively disclosed Atomberg’s intention to secure Rs 450 crore through a fresh issue as part of its IPO strategy. A91 Partners will divest the largest portion, amounting to 3.77 crore shares, followed by V-Sciences Investments, backed by Temasek, with 1.22 crore shares and Jungle Ventures, through JV4, with 99.46 lakh shares. Inflexur Ventures, via Inflexor Opportunities Fund I and Inflexor Technology Fund, will release 87.9 lakh shares, while Steadview Capital Mauritius and Survam Partners will sell 45.38 lakh shares and 33.18 lakh shares, respectively.
Utilization of Proceeds from the IPO
Atomberg intends to allocate Rs 90 crore from the fresh issue to repay or prepay certain debts. An additional Rs 150 crore will focus on enhancing brand awareness and performance marketing. Rs 100 crore is set aside for research and development, with the remaining funds aimed at general corporate purposes.
Company Profile and Founding Members
Founded by Manoj Meena in 2012, Atomberg welcomed Sibabrata Das as co-founder in 2013. The company specializes in manufacturing consumer appliances and components, with a product range including ceiling fans, mixer grinders, water purifiers, juicers, and smart locks. Its subsidiary, Atomberg Innovations, provides motors and controllers to notable brands such as Voltas, Godrej, and Blue Star.
As of the DRHP submission date, A91 Partners holds the largest stake in Atomberg at 21.02%, followed by co-founder Manoj Kumar Meena with 17.73%. Other stakeholders include V-Sciences Investments and Jungle Ventures, possessing 11.85% and 10.03%, respectively, while co-founder Sibabrata Das owns 10.02%. Moreover, Steadview Capital, Temasek-backed Jonsong Investments, and Inflexor Ventures hold stakes of 7%, 6.98%, and 6.08%, respectively.
Financial Performance Overview
Atomberg has reported a notable 34.8% year-on-year increase in operational revenue, soaring to Rs 1,293.77 crore in FY26 from Rs 959.51 crore in FY25. Conversely, the adjusted EBITDA fell to Rs 37.12 crore from Rs 51.35 crore during the same period, with the company’s restated loss recorded at Rs 148.88 crore in FY26.
Market Position and Distribution
Atomberg has established a robust position in the premium ceiling fan sector, claiming a 46.08% market share based on cumulative sales value in FY26, according to the Redseer report referenced in the DRHP. As of March 2026, the company operated with approximately 626 distributors and direct dealers, along with 46,932 retail points across nearly 1,600 cities and towns.
Management of the Offering
ICICI Securities, Avendus Capital, and IIFL Capital Services are serving as the book-running lead managers for the IPO, while MUFG Intime holds the role of registrar for the issue.
