Info Edge Acquires Full Stake in Coding Ninjas for Rs 39.91 Crore

Info Edge has finalised the purchase of the remaining 45.36% stake in Coding Ninjas from the founders of the edtech platform for approximately Rs 39.91 crore. This strategic decision will establish the company as a wholly owned subsidiary. The board approved this decision during their meeting on July 6.

Details of the Acquisition

The parent company of Naukri will acquire 74,741 equity shares of Sunrise Mentors Private Limited, which runs Coding Ninjas, at a price of Rs 5,340.23 per share. This transaction is anticipated to conclude within a span of 45 days.

Info Edge will pay 25% of the total amount, equivalent to around Rs 9.98 crore, upon the closing of the share purchase agreement. The remaining Rs 29.93 crore is scheduled to be disbursed in three equal payments on March 31 for the years 2027, 2028, and 2029.

Strategic Aims of the Acquisition

The company stated that this acquisition aims to strengthen the synergies between Naukri and Coding Ninjas. Furthermore, it will allow Naukri to develop mini AI course offerings for its users. Additionally, the founders of Coding Ninjas will transition to Info Edge, where they will receive salaries along with performance-related incentives.

Previous Investment in Coding Ninjas

In October 2022, Info Edge invested Rs 135.4 crore (about $17 million) to elevate its ownership in the startup from 26% to 51%. Following this, the company incrementally increased its stake through subsequent transactions, and the current acquisition will complete its ownership at 100%.

About Coding Ninjas

Established in 2016, Coding Ninjas provides online coding and upskilling courses. The company recorded revenues of Rs 97.43 crore in FY26, showing growth from Rs 67.15 crore in FY25 and Rs 53.31 crore in FY24. Notably, it reported a net loss of Rs 13.36 crore in FY26, and its net worth was negative Rs 34.98 crore as of March 31, 2026.

Additional Investments by Info Edge

In a separate decision, Info Edge’s board has also given the green light for an extra commitment of up to Rs 180 crore to B8 Fund I, a Category II Alternative Investment Fund overseen by its wholly owned subsidiary, Smartweb Internet Services. This new commitment is in addition to the previously approved Rs 250 crore for this year.

Full Ownership of Startups

Coding Ninjas joins the ranks of Zwayam, DoSelect, and Highorbit Careers, the latter being the parent company of iimjobs and hirist, among the startups that have come under the complete ownership of Info Edge. Unlike previous deals, Info Edge gradually increased its stake in Coding Ninjas through multiple investment rounds before acquiring full ownership.
