Oracle Appoints Hilary Maxson as Chief Financial Officer

Oracle has recently appointed Hilary Maxson as its Chief Financial Officer (CFO) following significant layoffs last week. With a solid background in infrastructure and energy, Maxson contributes over ten years of experience to the organisation.

This appointment arrives during a time of substantial investment in artificial intelligence (AI) infrastructure, alongside an increase in debt.

Previously, Maxson held the position of Executive Vice President and group CFO at Schneider Electric. According to the company’s regulatory documents, she is set to start immediately and will report directly to CEO Clay Magouyrk.

Magouyrk commented that Maxson’s experience, which spans industrial, infrastructure, and software sectors, is crucial for capital intensity and execution excellence. He expressed enthusiasm about collaborating with their new CFO alongside Mike Sicilia, the CEO.

Maxson conveyed excitement about joining Oracle during this crucial phase. She mentioned her eagerness to work with Clay, Mike, and the larger leadership team, with a focus on disciplined investment and creating sustainable long-term value for customers and shareholders.

Regarding her compensation, Maxson will earn a base salary of $950,000 (approx. Rs 8.83 crore) annually. Additionally, she is eligible for a performance bonus of up to $2.5 million (approx. Rs 23.26 crore), contingent upon meeting specified targets. Since she commenced her role on April 6, 2026, close to Oracle’s fiscal year-end on May 3, her initial bonus will be adjusted for the shorter duration.

The company also announced that it will cover up to $250,000 in relocation expenses within a year.

Moreover, Maxson will be awarded stock compensation valued at up to $26 million (approx. Rs. 246.6 crore), with 80% of it vesting over time, and the remaining 20% tied to performance metrics.

In her dual capacity as CFO, Maxson will also function as Principal Financial Officer, overseeing Oracle’s financial reporting and disclosures. Douglas Kehring will relinquish that role while remaining as Executive Vice President of Operations to concentrate on Oracle’s strategic initiatives.
